Role Specifications

Job Title: Manger, Secretarial

Role Summary

The role supports end‑to‑end corporate and SEBI compliance, including preparing agendas and minutes, managing statutory filings, handling disclosures to stock exchanges, and coordinating with internal and external stakeholders. It also involves maintaining compliance trackers, monitoring regulatory updates, and ensuring smooth departmental operations.

Key Accountabilities

Responsibilities under Corporate Law [Companies Act, 2013]:

•Preparation of Agenda and Notes to Agenda for Board/Committees’ and General Meetings.
•Preparation of transcripts and Minutes of Meetings of Board/ Committees’ and Shareholders.
•Preparation and filing of forms with MCA and other regulators.
•Maintenance of Minutes books and statutory registers.
•Assist in Secretarial Audit, Statutory Audits and Due diligence as may be required time to time.

 

Responsibilities under SEBI Laws [SEBI LODR, PIT Regulations]:

•Preparation of periodic and event-based disclosures and reply to the clarifications raised by to Stock Exchanges time to time.
•Filing of financial results, press releases, investor presentations, CG report, shareholding pattern, compliance certificates and stock exchange disclosures etc.
•Liasoning with RTA, stock exchanges, depositories, investor relations.
•Co-ordination with Designated persons for PIT compliances including compliances under SDD software.

 

Other Activities

•Tracking of amendments to SEBI Circulars, Companies Act and other regulations.
•Preparation of Compliance Tracker and Calendar of events including managing the compliances tool for various compliances under SEBI and Companies Act, 2013.
•Co-ordination with internal stakeholders on matters relating to the filing of documents on various statutory and compliance portals, including the MCA portal.
•Co-ordination with internal stakeholders for smooth functioning of the department including raising GRs’, ICs’, budget and relevant bills.
•Any other activities required for compliance under the above-mentioned regulation.

Role Success

Success in this role is achieved by ensuring complete compliance with corporate and SEBI regulatory requirements, delivering accurate and timely statutory filings, and maintaining high‑quality documentation such as agendas, minutes, disclosures, and reports. Strong coordination with internal teams, regulators, stock exchanges, and designated persons is essential to ensure smooth operations and zero compliance gaps. The role requires proactive monitoring of regulatory changes, effective management of compliance trackers and portals, and consistent adherence to deadlines. Demonstrating reliability, attention to detail, and a structured approach to all compliance activities is key to excelling in this position.
